1. Terms of Definitions:
1.1. "The Photographer" means Mrunal S. Photography. "The Client" means any person, body of persons, firm or company with whom the Photographer enters into a contract for the sale of services by the Photographer.
1.2. "Image(s)" mean any images, pictures and/or photograph produced by The Photographer, whether photographs, prints and/or other type of physical/electronic material.
2. Acceptance of Terms and Conditions of Service:
2.1. All contracts, agreements and transactions between The Photographer and The Client whether made orally or in writing are subject to these terms and conditions of service which shall be deemed to be incorporated into any contract between The Photographer and all or any of its Clients.
3. Copyright and Ownership:
3.1. COPYRIGHT The entire copyright in the Photograph is retained by The Photographer at all times throughout the world.
3.2. OWNERSHIP OF MATERIALS: Title to all Photographs remains the property of The Photographer.
4. License of Use:
4.1. The Photographer authorises The Client to the license usage of the image for personal use and/or to share with family and/or friends upon final payment received from The Client unless prior permission has been made with The Photographer.
4.2. The Photographer authorises The Client to share the images on Social Media subjected that The Client must credit The Photographer via The Photographers Social Media i.e. on points 4.2.1.1, 4.2.1.2, 4.2.1.3, 4.2.1.1.4, upon final payment received from The Client, unless prior permission has been made with The Photographer.

4.3. Commercial usage of the Image is strictly prohibited by The Client, unless written permission is sought from The Photographer and a payment is negotiated between The Client and The Photographer.
4.4. The Photographer retains the right to use the images for The Photographers usage in any media for any purpose (except pornographic or defamatory) which may include, among others, advertising, promotion, marketing and packaging for any product or service. The image may be combined with other images, text, graphics, film, audio, audio-visual works and may be cropped, altered or modified.
5. Images:
5.1. The Photographer has full rights to make the selection of the images that reflect The photographers' style and quality of work, during the image selection process any images that are deemed to be not suitable are removed and not made available to The Client. The Photographer has full artistic license with editing.
5.2. All images selected will be adjusted for exposure, brightness, contrast, sharpness, etc by The Photographers' judgement in regards to the quality of The Photographers work and style.
5.3. The Photographer will supply all images with a watermark discreetly added onto the images which The Client must not modify when using the images for personal use and/or to share with family and/or friends and/or posting the images on Social Media unless prior permission has been made with The Photographer and a payment fee is negotiated between The Client and The Photographer.
5.4. The Client is prohibited from making any further changes/retouching and/or modifications to the final images. Any further requests from The Client to make changes/retouching and/or modifications of the images. The Client must seek The Photographers permission which will be charged as an additional fee.
5.5. Negative "RAW" images will remain the property of The Photographer and cannot be transferred to The Client or purchased.
6. Delivery:
6.1. The Photographer will deliver the completed images to The Client via electronic transfer and/or via an online gallery upon final payment.
6.2. The Photographer will aim to complete the delivery of the images as soon as possible after the photo shoot is completed and/or no further than 2 weeks from the date of the photo shoot.
6.3. In the event of The Photographer requiring more time to select and/or with the Post-Processing, The Photographer will negotiate a suitable timeframe with The Client.
7. Booking/Rescheduling/Cancellation:
7.1. A booking is made upon receipt of a written confirmation between The Photographer and The Client on a date/time and location of the photo shoot.
7.2. The Photographer may take a deposit to secure a Booking from The Client to secure the date/time.
7.3. A booking can be rescheduled due to unforeseen circumstances by either The Photographer and/or The Client. The Photographer requires that at least 48hrs notice is provided from either party for a reschedule of a confirmed booking whenever possible.
7.4. All cancellations shall be given 48hrs before an agreed photo shoot is to take place. The Photographer retains the right to charge The Client the deposited amount at his discretion.
8. Payment:
8.1. Payments are to be made to The Photographer either via BACS, Cash or via Debit/Credit Card upon receipt of the Invoice.
9. Travel Expense:
9.1. All travel expenses are based on the distance of The Photographers location in North London and the location of the photo shoots. The Photographer will charge a roundtrip of £0.45p per mile.
9.2. The Photographer will use https://www.google.co.uk/maps/ to find the shortest and fastest mileage between The Photographers location in North London and the location of the photo shoots.
10. Liability:
10.1. If The Photographer should be unable to provide the goods and services outlined in this contract for any reason, The Photographer agrees to refund any feeds paid by The Client, minus applicable expenses, and shall have no further liability with regards to this contract. This limitation of liability also applies to any loss or damage to footage, photographs, or other materials.
11. Force Majeure:
11.1. The Photographer shall not be liable for any failure or delay in the performance of any of the party's obligations under these Terms caused by any circumstances beyond such party's reasonable control.
12. Ordering Prints, Canvases, etc:
12.1. The Photographer can arrange to undertake production and delivery of the images as prints, canvases, etc upon the request of The Client at an additional fee.
12.2. The Photographer will use a 3rd part print service to undertake production and delivery of images in sec 21.1.
12.3. The Photographer will provide in writing to The Client upon the delivery times, upon final payment from The Client.
13. APPLICABLE LAW This agreement shall be governed by the laws of England & Wales.
14. Prices and Terms:
14.1. These prices and terms can be amended at any given time without notice.
14.2. All existing contracts before the amendment of changes to the prices and terms will stay valid.
